Terms of Service

1.Acceptance of Terms

By creating an account on, accessing, or otherwise using the Vyzz platform and any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to modify these Terms at any time, and will provide notice of material changes through the Service interface or via the email address associated with your account.

These Terms apply to all visitors, users, and others who access or use the Service, including without limitation users who are browsers, customers, merchants, vendors, and contributors of content. You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2.The Services

Vyzz provides AI Visibility and Generative Engine Optimization (GEO) services. Our platform audits, optimizes, and monitors your organization's presence and visibility across major AI platforms, including but not limited to ChatGPT (OpenAI), Google Gemini, Perplexity, Claude (Anthropic), Microsoft Copilot, and Grok (xAI). The Service is designed to help organizations understand and improve how they are represented in AI-generated responses.

The Service includes a done-for-you optimization service performed by our team of GEO specialists, as well as access to a live analytics dashboard that provides real-time monitoring of your AI visibility scores, competitive positioning, and performance trends across supported AI platforms. Our methodology combines proprietary scoring algorithms with systematic analysis of AI platform outputs to generate actionable insights and recommendations.

You acknowledge that AI platforms are operated by independent third parties, and that the behavior, algorithms, and outputs of these platforms are outside Vyzz's direct control. While we employ best-practice optimization strategies, changes to AI platform algorithms, training data, or policies may affect your visibility scores and rankings at any time, without prior notice from the AI platform operators or from Vyzz.

Vyzz reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes to the Service that may affect your use.

3.Account Registration

To access the Service, you must create an account through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. You are responsible for safeguarding the credentials used to access your account and for all activities that occur under your account.

Each individual may maintain only one account. You may not create multiple accounts for the purpose of circumventing usage limits, accessing trial periods more than once, or any other purpose that violates these Terms. If we determine that you have created multiple accounts in violation of this provision, we reserve the right to suspend or terminate all associated accounts.

You must notify us immediately of any unauthorized use of your account or any other breach of security. Vyzz shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. You are solely responsible for any activity that occurs through your account, whether or not authorized by you.

4.Subscriptions and Fees

Access to the Service requires a paid subscription. The following subscription plans are available for small and mid-sized businesses (SMBs):

• Monthly plan: $399 per month, billed monthly
• Annual plan: approximately $299 per month, billed annually at $3,588 per year
• Enterprise: custom pricing available upon request for organizations with advanced requirements

All payments are processed through Stripe, our third-party payment processor. By subscribing to the Service, you authorize Vyzz to charge the payment method on file for the applicable subscription fees. Subscription fees are non-refundable except as expressly set forth herein or as required by applicable law. All fees are stated in United States Dollars (USD) and do not include applicable taxes, which will be added where required by law.

Subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel your subscription before the renewal date. You may cancel your subscription at any time through the billing section of your dashboard or by contacting us. Cancellation will take effect at the end of the current billing period; you will continue to have access to the Service until that date.

Vyzz reserves the right to change subscription fees upon 30 days' prior written notice. Price changes will take effect at the start of the next billing period following the notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

5.Intellectual Property Rights

The Vyzz platform, including its software, design, user interface, proprietary optimization methodology, scoring algorithms, data models, documentation, and all related intellectual property (collectively, "Vyzz IP"), is and shall remain the sole and exclusive property of Vyzz, Inc. These Terms do not grant you any right, title, or interest in the Vyzz IP except for the limited right to use the Service as expressly permitted under these Terms.

You retain all ownership rights in the business data, domain information, and other content you submit to the Service ("Customer Data"). AI visibility reports, recommendations, and optimization analyses generated by the Service based on your Customer Data ("Reports") are licensed to you for your internal business use only. You may not resell, redistribute, publicly publish, or sublicense Reports without Vyzz's prior written consent.

Visibility scores, rankings, and competitive position data are algorithmically generated outputs that reflect conditions at the time of analysis. They do not constitute guarantees of future performance. Vyzz makes no representations that any specific score or ranking will be achieved or maintained over time.

6.User Content and Data

You retain all ownership rights in the data, content, and information you submit to the Service, including your domain name, business information, industry classification, competitive landscape data, and any other materials provided during onboarding or through the course of using the Service (collectively, "Customer Data"). Vyzz does not claim ownership of your Customer Data.

By using the Service, you grant Vyzz a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your Customer Data solely for the purposes of providing and improving the Service, generating your AI visibility reports, and performing the optimization services described in these Terms. This license terminates when your Customer Data is deleted from our systems in accordance with our data retention policies.

All collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You represent and warrant that you have all necessary rights and consents to provide any Customer Data to Vyzz and that your provision of such data does not violate any applicable law, regulation, or third-party right.

7.Prohibited Uses

You agree not to engage in any of the following prohibited activities in connection with your use of the Service:

• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or underlying methodology of the Vyzz platform or any part thereof
• Scraping, crawling, or using automated means to extract data from the Service beyond the scope of normal use through the provided dashboard and API interfaces
• Reselling, sublicensing, or redistributing AI visibility scores, rankings, reports, or any other data generated by the Service to third parties without prior written consent from Vyzz
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
• Interfering with, disrupting, or attempting to gain unauthorized access to the Service, its servers, or any networks connected to the Service
• Using any automated system, including but not limited to bots, scripts, or spiders, to access the Service in a manner that exceeds normal, reasonable use or sends more requests to the Service than a human can reasonably produce in the same period
• Using the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Attempting to circumvent any usage limits, access controls, or security measures implemented by Vyzz

Violation of any of these prohibitions may result in immediate termination of your account and access to the Service, without refund. Vyzz reserves the right to investigate and take appropriate legal action against anyone who violates these provisions, including without limitation reporting such violations to law enforcement authorities.

8.Warranties and Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VYZZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Vyzz does not warrant that: (a) the Service will meet your specific requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate, reliable, or complete; or (d) any errors in the Service will be corrected.

You acknowledge and agree that AI platform rankings, visibility scores, and search results can change at any time without notice due to factors entirely outside Vyzz's control, including but not limited to changes in AI model training data, algorithm updates, platform policy changes, and competitive dynamics. Vyzz does not guarantee that any specific ranking, visibility score, or level of AI platform representation will be achieved or maintained. Results vary significantly by industry, competitive landscape, geographic region, and individual AI platform behavior.

Any advice, recommendations, or optimization strategies provided through the Service are based on our professional analysis and experience but should not be construed as guarantees of specific outcomes. You use the Service and act on any recommendations at your own risk.

9.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VYZZ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT VYZZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by applicable law, Vyzz's total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the aggregate amount of fees actually paid by you to Vyzz during the 12-month period immediately preceding the event giving rise to such liability. This limitation applies regardless of whether such liability arises from breach of contract, tort (including negligence), strict liability, or any other legal theory.

You expressly acknowledge that AI platforms referenced in the Service (including ChatGPT, Gemini, Perplexity, Claude, Copilot, and Grok) are third-party services operated independently. Changes to these platforms' algorithms, policies, or availability are entirely outside Vyzz's control. Vyzz shall have no liability for any loss, damage, or adverse impact resulting from changes made by third-party AI platform operators.

10.Indemnification

You agree to indemnify, defend, and hold harmless Vyzz, Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) any Customer Data you submit, post, or transmit through the Service; or (e) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service. Vyzz reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Vyzz in asserting any available defenses.

11.Confidentiality

Each party acknowledges that in connection with these Terms and the use of the Service, it may receive or have access to confidential and proprietary information of the other party ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, technical data, product designs, trade secrets, customer lists, pricing information, and any other information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

All Customer Data submitted to the Service shall be treated as your Confidential Information. Vyzz will maintain the confidentiality of your Customer Data using commercially reasonable security measures and will not disclose your Customer Data to third parties except as necessary to provide the Service or as required by law. Vyzz personnel with access to Customer Data are bound by confidentiality obligations.

Notwithstanding the foregoing, Vyzz may use aggregate, anonymized, and de-identified data derived from Customer Data for the purpose of improving the Service, generating industry benchmarks, conducting research, and producing general market insights. Such aggregate data will not identify you or your organization. This right survives termination of these Terms.

12.Termination

Either party may terminate this agreement by providing 30 days' prior written notice to the other party. Vyzz may terminate or suspend your account and access to the Service immediately, without prior notice or liability, in the event of a material breach of these Terms, including but not limited to non-payment of fees, fraudulent activity, or violation of the prohibited uses set forth in Section 7.

Upon termination of your account for any reason: (a) your right to access and use the Service will immediately cease; (b) any outstanding fees owed to Vyzz will become immediately due and payable; and (c) Vyzz will make your Customer Data available for export for a period of 30 days following termination. You are responsible for exporting your data during this period.

After the 30-day data export period, Vyzz will permanently delete your Customer Data from its active systems in accordance with our data retention policies. Certain data may be retained in encrypted backups for a reasonable period as required for legal compliance or legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5, 8, 9, 10, 11, and 13.

13.Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Wilmington, Delaware. The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules. The language of the arbitration shall be English.

YOU AND VYZZ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Vyzz agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VYZZ EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. This waiver is knowing, voluntary, and intentional.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court. Additionally, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Vyzz with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Vyzz relating to the subject matter hereof.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

No Waiver. The failure of Vyzz to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term or condition shall not be deemed a further or continuing waiver of such term or condition or any other term or condition.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Vyzz. Vyzz may assign these Terms and its rights and obligations hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Force Majeure. Vyzz shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, power failures, internet or telecommunications failures, or third-party service outages (including AI platform outages).

Notices. All notices required or permitted under these Terms shall be sent via email to the email address associated with your account (for notices to you) or to hello@vyzz.io (for notices to Vyzz). Notices shall be deemed received upon delivery for electronic communications.
